Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and Focus Music Entertainment, LLC ("Royalty Lock," "we," "us"). By creating an account or using royaltylock.io or our mobile apps (the "Service"), you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

2. What Royalty Lock is, and is not

Royalty Lock is a software tool that helps you prepare and organize the registration of your music across royalty, rights, and data destinations (for example: The MLC, performing-rights organizations, SoundExchange, Luminate, and the U.S. Copyright Office). We generate registration files, prefill forms in the correct order, and give you one-tap access to submit them under your own accounts. Where a registry legally permits automated submission and you have authorized it, our software may submit on your behalf. Royalty Lock is not, and does not act as, any of the following: a bank, money transmitter, or payment institution; a music distributor or a delivery service to streaming platforms; a performing-rights organization, collecting society, or publishing administrator; a law firm or a financial, tax, or investment advisor. We do not collect, hold, receive, or distribute your royalties, and we do not take a percentage of your royalties or your music rights. You remain the owner of your music and the rights holder and filer of record. Nothing in the Service is legal, financial, or tax advice.

3. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.

4. Your responsibilities as the rights holder

Accuracy: You are responsible for the accuracy and completeness of the metadata, splits, ownership percentages, and other information you enter. Registrations depend on this information being correct. Rights: You represent that you own or control the rights to the music and information you submit, and that your registrations do not infringe anyone else's rights. You are the filer of record: Except where you have signed an authorization permitting automated submission at a destination that legally allows it, you submit each registration under your own accounts and credentials.

5. Authorizations (paid tiers)

Certain paid features (e.g. Co-Pilot) let our software submit specific filings on your behalf where a registry legally permits it. Those features operate only after you sign a filing authorization, which is limited in scope, logged with a timestamp, and revocable by you at any time. We never log into accounts we are not authorized to use, and we never store your third-party credentials.

6. No guarantee of outcomes

We prepare and help submit registrations, but we do not guarantee that any registry, PRO, or third party will accept a registration, that any particular amount of royalties will be collected, or that a submission will be processed within any timeframe. Third-party systems, rules, and eligibility are outside our control.

7. Fees, billing, and refunds

Paid tiers are priced per single as shown in the Service (currently $7 Auto Pilot and $17 Co-Pilot; free tier available). Prices may change prospectively. Web purchases are processed by our payment processor (Stripe). In-app purchases, where offered through the Apple App Store or Google Play, are processed by those platforms and are also subject to their terms; refunds for platform-billed purchases are handled by the platform. Refunds: Because paid tiers deliver prepared registration files and unlock access immediately, purchases are non-refundable except where required by law or granted at our discretion.

8. Acceptable use

You agree not to: misuse the Service; upload unlawful, infringing, or malicious content; attempt to access other users' data; probe or circumvent security; scrape or overload the Service; misrepresent your rights or identity; or use the Service to violate any registry's terms or any law.

9. Intellectual property

Your content: You keep all rights to your music and the metadata you provide. You grant us a limited, non-exclusive license to process, store (as described in the Privacy Policy), and use that content solely to provide the Service to you (for example, to generate files and prefill forms). Our platform: The Service, including our software, design, and content, is owned by us and protected by law. We grant you a limited, revocable, non-transferable license to use it under these Terms.

10. Third-party services

The Service references and links to third parties (registries, PROs, your distributor, payment and infrastructure providers). We are not affiliated with, endorsed by, or partnered with ASCAP, BMI, SESAC, GMR, The MLC, SoundExchange, Luminate, Mediabase, or the U.S. Copyright Office unless expressly stated in writing. Your use of third-party services is governed by their own terms, and we are not responsible for them.

11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will result in any particular registration or royalty outcome. Nothing in the Service constitutes legal, financial, or tax advice.

12. Limitation of liability

To the maximum extent permitted by law, Royalty Lock and its owners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or royalties, arising from or related to your use of the Service. Our total liability for any claim will not exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) US$100.

13. Indemnification

You agree to indemnify and hold harmless Royalty Lock and its owners from claims, damages, and expenses (including reasonable legal fees) arising out of your content, your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or others. Provisions that by their nature should survive (e.g. IP, disclaimers, liability limits) will survive termination.

15. Changes to the Service and Terms

We may modify the Service or these Terms. For material changes to the Terms, we will provide reasonable notice (e.g. by posting an updated date and, where appropriate, notifying you). Continued use after changes take effect means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-laws rules. You agree that the state and federal courts located in Maryland have jurisdiction over any dispute not subject to arbitration.
